1. Acceptance of Terms

2.1 Digna provides digital marketing services to its clients, including but not limited to search engine optimization, social media marketing, content marketing, pay-per-click advertising, content writing, brand management, graphic designing, web development, and cloud services.

2.2 The specific services provided to a client will be detailed in a separate agreement between Digna and the client.

3. Intellectual Property

3.1 All intellectual property rights, including but not limited to copyrights, trademarks, and patents, in the materials and content created by Digna for the client shall belong to Digna, unless otherwise agreed in writing.

3.2 The client grants Digna a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and distribute any intellectual property provided by the client for the purpose of performing the services.

4. Confidentiality

4.1 Both parties agree to keep confidential any proprietary or confidential information disclosed by the other party.

4.2 Confidential information shall not include information that:

• is or becomes publicly known through no fault of the receiving party;
• is rightfully received by the receiving party from a third party without confidentiality obligations;
• is independently developed by the receiving party without use of the disclosing party’s confidential information.

5. Payment Terms

5.1 The client agrees to pay Digna for the services provided according to the fee schedule specified in the agreement between the parties.

6. Term and Termination
